Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Chasivo platform (“Service”), operated by TheRackey OÜ (“Company”, “we”, “us”, “our”), a company registered in the Republic of Estonia (registry code: 16903336), trading as Chasivo. By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

  • “Service” — The Chasivo web application at app.chasivo.com, including all features, APIs, and related services.
  • “User”“you”“your” — Any individual or entity that creates an account or uses the Service.
  • “Customer Data” — All data you upload, input, or generate through the Service, including invoices, customer records, email content, payment records, and AI-generated content.
  • “AI Features” — Automated features powered by artificial intelligence, including but not limited to: client profiling, risk prediction, email drafting, intent classification, dispute resolution suggestions, and payment follow-up recommendations.

3. Eligibility

The Service is intended for business use only (B2B). By using the Service, you represent that:

  • You are acting in a professional or business capacity, not as a consumer.
  • You are at least 16 years old and capable of entering into a binding legal agreement.
  • You have the authority to bind your business or organisation to these Terms.

The Service is not designed for personal, non-commercial, or consumer use. The EU Consumer Rights Directive (Directive 2011/83/EU), including the 14-day withdrawal right, does not apply to B2B transactions.

4. Account Registration

4.1. You must provide accurate, current, and complete information during registration.

4.2. You are responsible for safeguarding your account credentials and for all activity under your account.

4.3. You must notify us immediately at security@chasivo.com if you suspect unauthorized access to your account.

4.4. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Service Description

Chasivo is an AI-powered invoice chasing and accounts receivable management platform. The Service enables you to:

  • Track and manage invoices and customer accounts
  • Send payment reminders and follow-up communications via email
  • Connect your email account (Gmail, Outlook) for two-way inbox synchronization
  • Use AI-powered features for client profiling, risk scoring, email drafting, and dispute resolution
  • Record and track payments and promises to pay
  • Generate reports and analytics on your accounts receivable
  • Set up recurring invoices and automated chasing workflows

6. AI Features — Transparency and Limitations

6.1. AI-Generated Content. The Service uses artificial intelligence to generate content including email drafts, risk assessments, client profiles, and follow-up suggestions. All AI-generated content is clearly labeled within the Service.

6.2. No Guarantee of Accuracy. AI-generated content is provided as suggestions only. AI outputs may contain errors, inaccuracies, or inappropriate recommendations. You are solely responsible for reviewing, editing, and approving any AI-generated content before it is sent or acted upon.

6.3. Human Oversight. The Service provides multiple oversight modes:

  • Copilot mode — AI drafts content; you review and approve before sending.
  • Autopilot mode — AI sends communications automatically based on your configured rules. By enabling Autopilot, you accept full responsibility for all communications sent on your behalf.
  • Manual mode — AI assists with analysis only; all communications are composed by you.

6.4. No Automated Decision-Making Affecting Legal Rights. The Service does not make automated decisions that produce legal effects or similarly significant effects on any individual. AI risk scores and predictions are advisory tools only, not determinative of any person’s rights or obligations.

6.5. AI Opt-Out. You may disable all AI features at any time by switching to Manual chasing mode in Settings. In Manual mode, no data is sent to AI models and all features operate without AI assistance.

6.6. AI Models. The Service uses third-party AI models (currently from Anthropic and Google). Your data is processed in accordance with our Privacy Policy and these providers’ data processing terms. AI providers do not use your data to train their models.

6.7. Liability for AI Content. You acknowledge that:

  • AI-generated communications sent from your account are your responsibility.
  • We are not liable for any damages arising from your reliance on AI-generated content.
  • You should not use AI features for legal, financial, or medical advice.

7. Email Integration

7.1. Gmail and Outlook Integration. You may connect your email account to enable two-way inbox synchronization. By connecting your email:

  • You authorize Chasivo to read, send, and manage emails on your behalf within the scope of the Service.
  • You represent that you have the authority to grant this access.
  • Email content is processed to enable inbox features, AI analysis, and communication tracking.
  • Email message bodies are encrypted at rest using AES-256 symmetric encryption.

7.2. Google Limited Use Compliance. Our use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We do not use Gmail data for advertising, market research, or any purpose unrelated to the Service.

7.3. Email Sending. When you send emails through the Service (including AI-drafted emails), they are sent from your own email address. Recipients see your email address as the sender. You are responsible for the content of all emails sent through the Service.

7.4. Revocation. You may disconnect your email account at any time through Settings. Disconnecting revokes OAuth tokens at the provider (Google) and stops all email synchronization. Previously synced messages remain encrypted in your Chasivo inbox.

8. Subscription Plans and Billing

8.1. Plans. The Service is offered under tiered subscription plans (Free, Solo, Pro, Business, Enterprise) with varying feature limits. Current plan details and pricing are available at chasivo.com/pricing. All prices are in US Dollars (USD).

8.2. Free Trial. New users receive a 14-day free trial of paid features when subscribing to any paid plan via Stripe. No payment is charged during the trial. If you do not cancel before the trial ends, your subscription begins and you will be charged automatically.

8.3. Free Plan. A free plan is available with limited functionality (up to 3 customers, 10 invoices, no AI features). The Free plan does not require a credit card.

8.4. Payment Processor. All payments are processed by Stripe, Inc. (“Stripe”). By subscribing to a paid plan, you agree to Stripe’s Terms of Service and Privacy Policy. Chasivo does not store, process, or have access to your credit card numbers.

8.5. Billing Cycle. Subscriptions are billed monthly or annually, depending on your selection. Billing begins at the end of the free trial period or on the date you subscribe (if no trial).

8.6. Automatic Renewal. Subscriptions renew automatically at the end of each billing cycle. You will be charged the then-current rate unless you cancel before the renewal date.

8.7. Cancellation. You may cancel your subscription at any time through the Stripe billing portal accessible from your Settings page. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.

8.8. Refunds. As a business-to-business service, we do not offer refunds for partial billing periods. All sales are final. If you believe you were charged in error, contact support@chasivo.com within 14 days.

8.9. Plan Limits. Each plan includes limits on the number of customers, invoices, AI features, and team members. If you exceed your plan limits, you will be prompted to upgrade. We will not charge you without your consent.

8.10. Price Changes. We may change subscription prices with at least 30 days’ notice. Price changes take effect at the start of your next billing cycle after the notice period.

9. Acceptable Use Policy

You agree not to use the Service to:

9.1. Spam or Harassment. Send unsolicited bulk communications, harass recipients, or send communications to individuals who have requested to stop receiving them.

9.2. Illegal Activity. Engage in any activity that violates applicable laws or regulations, including but not limited to debt collection harassment laws, anti-spam legislation, and data protection regulations.

9.3. Abuse of AI Features. Attempt to manipulate AI features to generate harmful, discriminatory, defamatory, or misleading content. Use AI features to impersonate another person or entity.

9.4. Unauthorized Access. Attempt to access other users’ data, reverse-engineer the Service, or circumvent security measures including but not limited to row-level security, authentication, or rate limiting.

9.5. Data Misuse. Upload data you do not have the right to use, or use the Service to process sensitive personal data (health, biometric, racial/ethnic origin, political opinions, religious beliefs, sexual orientation) unless you have explicit consent and a lawful basis to do so.

9.6. Service Disruption. Overload, disrupt, or interfere with the Service or its infrastructure. This includes automated scraping, excessive API calls beyond rate limits, or denial-of-service attacks.

9.7. Resale. Resell, sublicense, or provide access to the Service to third parties without our written consent.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.


10. Your Data

10.1. Ownership. You retain all rights to your Customer Data. We do not claim ownership of your data.

10.2. License. You grant us a limited, non-exclusive license to use, process, and store your Customer Data solely to provide and improve the Service.

10.3. Data Portability. You may export your data at any time via:

  • Full account export (JSON) in Settings
  • Invoice export (CSV) from the Invoices page
  • Payment export (CSV) from the Payments page
  • Customer export (CSV) from the Customers page
  • Report export (CSV) from the Reports page

10.4. Data Deletion. Upon account deletion, we initiate a 90-day soft-delete period during which your data can be recovered. After 90 days, your data is permanently and irreversibly deleted from our systems, except where retention is required by law (see Section 11).

10.5. Data Processing. Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement.

12. Intellectual Property

12.1. Our IP. The Service, including its design, code, features, AI models (as integrated), branding, and documentation, is owned by Chasivo and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.

12.2. Your IP. You retain all intellectual property rights in your Customer Data. AI-generated content created through the Service using your data is considered your content.

12.3. Feedback. If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback to improve the Service.

13. Third-Party Services

The Service integrates with third-party services. Your use of these integrations is subject to the respective third-party terms:

We are not responsible for the availability, accuracy, or practices of third-party services.

14. Service Availability

14.1. No SLA. We strive to maintain high availability but do not guarantee any specific uptime percentage. The Service is provided on an “as-is” and “as-available” basis.

14.2. Maintenance. We may perform scheduled and unscheduled maintenance that temporarily affects Service availability. We will endeavour to provide advance notice of planned maintenance where possible.

14.3. Modifications. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. For material changes that negatively affect your use, we will provide at least 30 days’ notice.

15. Limitation of Liability

15.1. To the maximum extent permitted by law, Chasivo, its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, or business opportunities;
  • Damages arising from your reliance on AI-generated content;
  • Damages arising from unauthorized access to your account;
  • Damages arising from third-party service failures or interruptions.

15.2. Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

15.3. These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

15.4. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Chasivo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Content you send through the Service, including AI-generated content you approved and sent;
  • Your infringement of any third party’s rights.

17. Termination

17.1. By You. You may terminate your account at any time by deleting it through Settings or by contacting support@chasivo.com.

17.2. By Us. We may suspend or terminate your account immediately, without notice, if:

  • You breach these Terms or the Acceptable Use Policy;
  • We are required to do so by law;
  • Your account has been inactive for more than 24 months (no login or API activity);
  • We reasonably believe your account is being used fraudulently.

17.3. Effect of Termination. Upon termination:

  • Your right to use the Service ceases immediately;
  • The 90-day soft-delete period begins;
  • Provisions that by their nature should survive termination (including Sections 10, 12, 15, 16, and 18) survive.

18. Governing Law and Dispute Resolution

18.1. Governing Law. These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles.

18.2. Dispute Resolution. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may submit the dispute to the exclusive jurisdiction of the courts of the Republic of Estonia (Harju County Court, Tallinn).

18.3. EU Consumers. If you are a consumer in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

19. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

  • We will notify you via email or in-app notification at least 30 days before the changes take effect.
  • Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
  • If you do not agree with the changes, you may terminate your account before the effective date.

20. General Provisions

20.1. Entire Agreement. These Terms, together with the Privacy Policy and DPA (where applicable), constitute the entire agreement between you and Chasivo.

20.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

20.3. Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

20.4. Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

20.5. Force Majeure. We are not liable for delays or failures in performance resulting from causes beyond our reasonable control.
